(Photo: Morten Brakestad)<\/em><\/p><\/div><\/div>\n<\/div><\/div>\n\n\n\n<h2 class=\"wp-block-heading\">The Board of Directors<\/h2>\n\n\n\n<p>The Board of Directors decides which areas the foundation\u2019s funds will be allocated to and makes decisions regarding who will receive support from the foundation. The Board consists of 7 members. <\/p>\n\n\n\n<p><a href=\"https:\/\/sparebankstiftelsen.no\/styret\/\" target=\"_blank\" rel=\"noreferrer noopener\">The members of the Board of Sparebankstiftelsen DNB (in Norwegian)<\/a><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">The General Meeting <\/h2>\n\n\n\n<p>The General Meeting of Sparebankstiftelsen DNB is responsible for the following tasks:<\/p>\n\n\n\n<ul>\n<li>Approving the annual accounts and annual report<\/li>\n\n\n\n<li>Electing members to the foundation\u2019s Board og Directors<\/li>\n\n\n\n<li>Electing members to the Election Committee<\/li>\n\n\n\n<li>Election of the auditor and determination of the auditor\u2019s remuneration<\/li>\n\n\n\n<li>Determining fees for the foundation\u2019s trustees<\/li>\n\n\n\n<li>Decisions on amendments to the foundation&#8217;s Statutes. Amendments also require approval by the Financial Supervisory Authority of Norway.<\/li>\n\n\n\n<li>Any sale of the shares the foundation owns in DNB ASA<\/li>\n<\/ul>\n\n\n\n<p>The General Meeting consists of a total of 31 members.<\/p>\n\n\n\n<p>When the foundation was established, key components of its governance system were drawn from the savings bank tradition. As a result, the composition of the General Meeting reflects the regions where the savings bank\u2019s funds were historically accumulated:<\/p>\n\n\n\n<ul>\n<li>15 members are elected by the county councils in the regions where the former Gjensidige NOR Sparebank had its historical roots (Eastern Norway).<\/li>\n\n\n\n<li>15 members are elected by DNB customers in these same districts, and 1 representative is elected by customers in the rest of the country (a total of 16 customer-elected representatives).<\/li>\n<\/ul>\n\n\n\n<p><strong>Customer Election in February 2026<\/strong><br>The next election of General Meeting representatives will take place in February 2026. DNB\u2019s personal customers over the age of 18 can vote in the online bank and mobile bank.<\/p>\n\n\n\n<p>Candidates have been nominated either by themselves or others via the foundation\u2019s website.
